BASILES Software License
Please read attentively the provisions of this License before downloading the SOFTWARE. The use of the SOFTWARE by the Licensee means that the latter has agreed with the provisions of this License.
The SOFTWARE as described thereof, property of CNES and named BASILES has been registered at the Agence pour la Protection des Programmes under the number IDDN.FR.001.180015.001.S.P.2009.000.20600.
As a work, the SOFTWARE is protected by the french Code of intellectual property (article L111-1 and next of the Code).
On the SOFTWARE, CNES grants to the Licensee, who can be a physical or a moral person, a non-exclusive and untransferable free License.
LANGUAGE OF THE LICENCE AND APPLICABLE LAW
The License is established in french and english. In the case of a dispute, the french version is the one that prevails.
This License is governed by french law. If any dispute should arise, litigation shall be settled by the competent court.
DURATION OF THE LICENCE
The License shall last for ten (10) years.
In any case, this License will not have a total duration longer than the legal protection of copyright.
TERRITORY
The present License is granted worldwide. However, due to the sensitive nature of any product originating from the space sector, the Licensee agrees imperatively to strictly comply with French export control regulation.
RIGHTS CONCEDED
CNES grants to the Licensee a non exclusive right to use, free of charge, the SOFTWARE provided as an executable. The right exclusively consists in the implementation of the SOFTWARE in order to get the relevant operation.
Licensee is not authorized to grant sub licences of the SOFTWARE.
The Licensee is not authorized to make copies of the SOFTWARE, other than a backup if it is necessary to preserve the use of the SOFTWARE.
LICENSEE’S OBLIGATIONS
The rights thereof granted are submitted to several conditions :
- any direct commercial exploitation is strictly prohibited. Nevertheless, Licensee can use the SOFTWARE within the framework of service provision or internal development of commercial tool. In case of direct commercial exploitation of the SOFTWARE, CNES and Licensee will negotiate a specific licence agreement ;
- adapting, transforming modifying or translating the SOFTWARE is prohibited ;
- the Licensee agrees to mention and retain all copyright and other proprietary notices and gives the name of CNES for all publications and presentations related to the SOFTWARE ;
- using the SOFTWARE in a manner which may harm CNES’s image and reputation is prohibited.
If the Licensee would not respect all these conditions, he would immediately become a counterfeiter and could be sued for counterfeit.
GUARANTEE
The Licensee uses the SOFTWARE as it is provided herein at his own expense, risks, without any guarantee from CNES. Any guarantee of any kind such as guarantee against counterfeit is here excluded.
CNES cannot guarantee that the SOFTWARE is free from bugs and defaults, and has no obligation of correcting any anomalies of any kind nor any deficiencies of the SOFTWARE. CNES cannot guarantee that the SOFTWARE is consistent with the Licensee’s needs.
In the same way, CNES is not responsible for any loss of profit or revenue, or data, or any direct or indirect damage, which could arise from the use of the SOFTWARE or the inability to use the SOFTWARE. The Licensee accepts that CNES cannot be sued.
RESILIATION
If the Licensee violates those terms and conditions, without prejudice to any damages that CNES may claim, this License ends immediately. In that case, the Licensee will send back to CNES or destroy the SOFTWARE and all its copies and no claim for any kind of compensation can be made against CNES.
Licence d’utilisation du logiciel BASILES
Veuillez lire attentivement les termes et conditions de cette Licence avant de télécharger le LOGICIEL. L’utilisation du LOGICIEL par le Licencié signifie que ce dernier a accepté les termes et conditions de la présente Licence.
Le logiciel BASILES (ci-après « le LOGICIEL »), objet de la présente Licence, est la propriété du CNES et a été déposé à l’Agence pour la Protection des Programmes sous le numéro IDDN.FR.001.180015.001.S.P.2009.000.20600.
Le LOGICIEL en tant qu’œuvre est protégé par le code de la propriété intellectuelle au titre des dispositions L111-1 et suivants du code.
Le CNES concède une Licence non exclusive et incessible sur le LOGICIEL au Licencié, qui peut être une personne physique ou morale.
LANGAGE DE LA LICENCE ET LOI APPLICABLE
La Licence est établie en français et en anglais. En cas de litige, la version française prévaudra.
La Licence est soumise au droit français. Si un différend survient à l’occasion de l’interprétation ou de l’exécution de la Licence, le litige sera porté devant le Tribunal compétent.
DUREE DE LA LICENCE
La Licence est accordée pour une durée de dix (10) ans.
En tout état de cause, la présente Licence ne pourra avoir une durée totale supérieure à celle de la protection légale du droit d’auteur.
TERRITOIRE
La Licence est accordée pour le monde entier. Cependant, les produits issus du secteur spatial étant sensibles, le Licencié s’engage à respecter impérativement la législation française concernant les autorisations d’exportation.
DROITS CONCEDES
Le CNES concède gratuitement au Licencié un droit non exclusif et gratuit d’utilisation sur le LOGICIEL, fourni en exécutable avec sa documentation. Ce droit non exclusif d’utilisation consiste exhaustivement dans la mise en œuvre du programme en vue d’obtenir l’opération demandée.
Le Licencié n’est pas autorisé à concéder de sous-licences du LOGICIEL.
Le Licencié n’est pas autorisé à effectuer des copies du LOGICIEL, autres qu’une copie de sauvegarde si celle-ci est nécessaire pour préserver l’utilisation du LOGICIEL.
OBLIGATIONS DU LICENCIE
Ces droits sont accordés sous réserve du respect des conditions suivantes :
- Le Licencié s’interdit d’effectuer toute adaptation, transformation, modification ou traduction du LOGICIEL ;
- Le Licencié s’interdit toute exploitation commerciale directe du LOGICIEL. Il peut néanmoins l’utiliser dans le cadre de prestations de services ou d’un développement de ses propres outils à vocation commerciale. Si le LICENCIE souhaite en faire une exploitation commerciale directe, il doit en faire la demande explicite au CNES qui établira et discutera avec le Licencié une licence spécifique au contexte d’utilisation du LOGICIEL par le Licencié ;
- Le Licencié s’engage à mentionner et à conserver en permanence toutes les mentions de propriété et de copyright du CNES sur tous les supports du LOGICIEL. En cas de publications, de communications ou de présentations le Licencié s’engage à citer le CNES (Centre National d’Etudes Spatiales) ;
- Le Licencié s’interdit d’utiliser le LOGICIEL de manière à nuire à l’image du CNES, et en particulier à sa réputation scientifique et technique ;
Si l’une quelconque de ces obligations n’était pas respectée, le Licencié deviendrait immédiatement contrefacteur et serait susceptible d’être poursuivi en contrefaçon.
GARANTIE
Le Licencié utilise le LOGICIEL à ses propres frais et risques. Le CNES ne donne aucune sorte de garantie au Licencié, y compris contre l’action des tiers.
Le CNES ne peut garantir que le LOGICIEL est exempt de bogues, erreurs, défauts ou omissions et n’a aucune obligation de corriger ces éventuelles déficiences, quelles qu’elles soient. Le CNES ne peut garantir l’adéquation du LOGICIEL aux besoins du Licencié.
Le CNES ne saurait être tenu pour responsable de quelque dommage que ce soit, direct ou indirect, matériel ou immatériel, y compris d’éventuels pertes de profit, de revenu ou de données, résultant de l’utilisation du LOGICIEL ou de l’incapacité à l’utiliser, ni poursuivi à ce sujet.
RESILIATION
La Licence prend fin automatiquement si le Licencié viole ses termes et conditions. En ce cas, le Licencié ne pourra prétendre à quelque remboursement que ce soit. Le Licencié devra retourner le LOGICIEL au CNES, ou le détruire, et n’en conserver aucune copie, sans préjudice de tous dommages et intérêts qui pourraient lui être demandés par le CNES en réparation du préjudice qu’il aura éventuellement subi du fait de cette violation.
